Terms of Service

1. Services

UGC Forge provides AI-powered UGC ad creation services on a monthly retainer basis. Services are described in the proposal agreed upon between UGC Forge and the client.

2. Contract terms

Our starter engagement requires a minimum 3-month commitment. All plans require a one-time onboarding fee which covers the initial research, strategy, and setup phase. This fee is non-refundable once the research phase begins.

3. The performance guarantee

UGC Forge guarantees to produce creative that outperforms the client's current best-performing ad within 90 days of the first batch launch.

If this benchmark is not met within 90 days, UGC Forge will continue to produce creative at no additional charge until the benchmark is achieved.

The guarantee applies when the client is actively spending on Meta ads and testing the creative delivered. Clients who do not run the delivered ads cannot claim the guarantee.

4. Client responsibilities

• Provide timely access to ad account, brand assets, and brand guidelines
• Review and approve creative briefs within 48 hours of delivery
• Actively run delivered creative on Meta and provide performance data
• Maintain agreed monthly ad spend for the guarantee to apply

5. Intellectual property

Upon full payment, the client owns all delivered creative assets. UGC Forge retains the right to reference the client engagement as a case study (including results) with prior written approval from the client.

6. Payments

Monthly retainer fees are invoiced in advance of each month. Payment is due within 7 days of invoice. Late payment may result in paused deliverables.

7. Limitation of liability

UGC Forge is not liable for ad account bans, Meta platform changes, or advertising performance that results from client-side decisions (budget changes, targeting changes, landing page quality). Our liability is limited to the value of services delivered in the current month.
